How to Send a Legal Notice for Breach of Contract in India (2026)

When the other side to a contract fails to do what they agreed, late delivery, non-payment, poor-quality work, walking away from a deal, a legal notice for breach is usually the first step. It formally records the breach, tells the other party what to do to fix it, and warns that you will sue if they do not. For most contracts there is no law forcing you to send a notice before suing, but a good one often resolves the dispute, and many contracts require written notice, sometimes with a chance to cure, before you can act. This guide answers the practical questions: when a notice is needed, what it must say, which remedies you can demand, the three-year time limit, and what an arbitration clause changes. It is general information, not legal advice.

The short answer
  • Read the contract first: many agreements require written notice, and often a cure period, before you can act on a breach.
  • Be specific: name the clause breached, the facts, and the remedy you want, damages, performance or termination.
  • Three years: a breach of contract suit is generally filed within three years of the breach, under the Limitation Act, 1963.
  • Check for arbitration: an arbitration clause may mean the dispute goes to arbitration, not court.

01When you need a breach notice

A breach of contract happens when one side does not perform its part of a valid agreement under the Indian Contract Act, 1872. You do not, as a general rule, have to send a notice before suing for breach. But a notice is usually worth sending, and sometimes you have no choice:

  • The contract says so: many agreements require written notice of breach, and often a cure period, before you can terminate or claim. Read your contract first, because skipping a required notice can sink your case.
  • You want to preserve the deal: a notice demanding the other side perform, with a deadline, can save a contract you still want fulfilled.
  • You want a clean record: an ignored notice shows the court you gave the other side a fair chance before suing.

Read the contract first

Before sending anything, check the agreement for a notice clause, a cure period, a notice address, and a dispute resolution or arbitration clause. These set the rules you must follow.

02What the notice must contain

A breach notice should leave no doubt about the breach and what you want done:

  • The contract: identify the agreement, its date, and the parties.
  • The obligation: the specific clause or term the other side agreed to.
  • The breach: exactly what they did or failed to do, with dates and facts.
  • The demand: what you want now, whether that is performance, payment of damages, repair, or termination.
  • A deadline: a reasonable time to comply, often tied to any cure period in the contract.
  • The consequence: that you will pursue your legal remedies, including arbitration or a suit, if the deadline passes.

03The remedies you can demand

Spell out in the notice which remedy you are after, because they are not the same and some have extra requirements.

RemedyWhat it isWhen it fits
DamagesMoney to compensate the loss caused by the breachMost breaches, where money puts you right
Specific performanceA court order to actually perform the contractWhere money is not enough, such as a unique property sale, under the Specific Relief Act, 1963
Termination and restitutionEnding the contract and getting back what you gaveA serious breach going to the root of the deal
InjunctionAn order stopping the other side from doing somethingTo prevent a threatened or continuing breach

Where you want the deal performed rather than compensated, see specific performance of a contract.

04Time limit and arbitration clauses

Under the Limitation Act, 1963, a suit for breach of contract generally has to be filed within three years from the date of the breach. Send your notice with enough time left to act, because a notice does not stop that clock.

If your contract has an arbitration clause, your dispute may have to go to arbitration rather than court, and your notice often doubles as, or is followed by, a notice invoking arbitration. Check the clause before you decide where to proceed; sending a plain suit-threat notice when the contract requires arbitration can cause delay. For how these clauses are written, see the arbitration clause format.

05Who sends it and how

You can send a breach notice yourself, but for a commercial contract most people use an advocate, because the wording of the breach, the remedy demanded and any reservation of rights can affect the later case. Lawyer fees for a breach notice vary with the complexity and value of the contract, so ask for a quote.

Send the notice to the address and in the manner the contract requires, if it specifies one. Otherwise use registered post with acknowledgement due, or courier, and keep the posting receipt and delivery proof. Keep a copy of the notice with all proof of sending.

06What happens next

If the other side cures the breach or settles, the matter ends. If they reply disputing the breach, you learn their defence and can negotiate or proceed. If they ignore the notice, you can start arbitration or file a suit after the deadline, depending on what the contract requires, claiming the remedy set out in your notice.

Once filed, a contract dispute can run for a long time through pleadings, evidence and arguments, whether before a court or an arbitral tribunal.

This guide is general information, not legal advice. Your rights depend on the contract and your facts, so read the agreement and take advice from an advocate before you act.

09Frequently asked questions

Is a legal notice mandatory before suing for breach of contract?

Not as a general rule, but many contracts require written notice, often with a cure period, before you can terminate or claim. Always read the agreement first, because skipping a required notice can harm your case.

What remedies can I demand for a breach of contract?

Depending on the breach, you can demand damages (money for your loss), specific performance (an order to perform, under the Specific Relief Act, 1963), termination and return of what you gave, or an injunction to stop a continuing breach.

What is the time limit to sue for breach of contract?

Generally three years from the date of the breach, under the Limitation Act, 1963. A notice does not stop that clock, so send it with enough time left to start arbitration or file a suit.

What if the contract has an arbitration clause?

Then your dispute may have to be resolved by arbitration rather than a court. Your breach notice often doubles as, or is followed by, a notice invoking arbitration, so check the clause before deciding where to proceed.

Can I send a breach of contract notice myself?

Yes, a notice in your own name is valid. For a commercial contract most people use an advocate, because the wording of the breach, the remedy and any reservation of rights can affect the later case. Lawyer fees vary, so ask for a quote.
